Assigning the remainder of your term
You have the right to assign the remainder of your current franchise term (less than 5 years) to a purchaser, so long as we approve them, and we will not unreasonably withhold approval. The reality is that so long as you have performed well and machines are on location we will most likely issue a new franchise agreement to your incoming purchaser. We are not obliged to issue a new term, but we may do that to preserve value in what you are trying to sell. So long as you are doing your best to keep machines running well, if the business is not suitable for you, we will most likely assist by making an attractive new term for a purchaser. If the relationship between us has deteriorated and you have run the business down, you may only be left with machines which we are entitled to repurchase at a depreciated rate according to the terms of the franchise agreement, The secret is - don't let your business run down. If you lose your mojo and don't recover you will lose a lot of money in potential sale price. If you dont like the business or you dont like the franchisor, our advice is to put your issues to one side, try very hard to get it running well and then sell it, rather than trying to sell it in a bad state. Businesses are valued on multiples of their profits so the better it's doing the more it's worth.
